Terms and Conditions
1. Introduction and Acceptance
Welcome to Camu Digital Campus (“Camu”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern access to and use of our websites, platforms, mobile applications, and related products and services (collectively, the “Services”).
By accessing or using the Services, you (including students, faculty, administrators, institutional partners, parents, and visitors) agree to be bound by these Terms and all policies referenced in them, including our Privacy Policy and Acceptable Use Policy. If you do not agree, you must not use the Services.
If you are using the Services on behalf of an institution (such as a college, university, or school) or other organization, you represent that you have authority to bind that entity and “Customer” will mean that entity. In the event of a conflict between these Terms and a separate written agreement between Camu and a Customer (such as a master services agreement, order form, or data processing addendum), the terms of the separate agreement will prevail to the extent of the conflict.
2. Eligibility
You may use the Services only if you are capable of forming a binding contract under applicable law, or if you are a minor, with the consent and under the supervision of a parent, guardian, or institution that has authorized your use. Institutions are responsible for ensuring that their authorized users comply with these Terms.
3. Cookies and Similar Technologies
We use cookies and similar technologies to operate, secure, and improve the Services, and to perform analytics in accordance with our Privacy Policy. By using the Services, you consent to our use of cookies as described in the Privacy Policy and in any cookie notices presented to you.
4. License and Intellectual Property
4.1 Ownership
Unless otherwise stated in a separate written agreement, Camu and/or its licensors own all intellectual property rights in and to the Services, including software, interfaces, design, text, graphics, logos, and other content provided by Camu (“Camu Materials”). All rights not expressly granted are reserved.
Customer and its users retain ownership of all data and content they provide or upload to the Services (“Customer Data”), subject to the licenses granted in these Terms and any applicable agreement.
4.2 License to Use Services
Subject to these Terms and any applicable institutional agreement and payment of all applicable fees, Camu grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for legitimate academic, administrative, instructional, and institutional purposes.
4.3 Restrictions
You must not, and must not permit any third party to:
- Republish, sell, rent, lease, or sub-license Camu Materials, except as expressly permitted in an applicable agreement.
- Reproduce, duplicate, copy, modify, adapt, translate, or create derivative works of the Services or Camu Materials, except as allowed by mandatory law or written agreement.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying ideas or algorithms, except to the limited extent permitted by applicable law.
- Circumvent security or access-control mechanisms or use the Services in excess of authorized usage limits.
5. User Accounts and Security
To access certain features, you may be required to create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
You must:
- Not share your credentials with any other person or permit unauthorized access.
- Notify your institution or Camu promptly of any suspected unauthorized use or security incident involving your account.
Camu is not liable for loss or damage arising from failure to safeguard your credentials, except to the extent required by applicable law or a written institutional agreement.
6. User Content and Conduct
6.1 User Content
Parts of the Services may allow you or your institution to upload, post, store, or share content, including text, files, media, assessments, and communications (“User Content”). You represent and warrant that you have all rights necessary to submit User Content and that such content does not infringe any third-party rights, violate law, or breach these Terms.
By submitting User Content through the Services, you grant Camu a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, adapt, and process such content solely for the purpose of operating, maintaining, supporting, securing, and improving the Services, and as otherwise permitted in our Privacy Policy and any applicable institutional agreement.
6.2 Monitoring and Removal
Camu does not generally pre-screen User Content but may monitor use of the Services and may remove, restrict, or disable access to any content or account that, in our reasonable judgment, violates these Terms, our policies, applicable law, or third‑party rights, or that poses risk to the security, integrity, or availability of the Services.
7. Acceptable Use Policy
This Acceptable Use Policy is an integral part of these Terms.
7.1 Intended and Lawful Use
You may use the Services only for lawful purposes and in a manner consistent with the academic, administrative, and institutional functions for which Camu is provided.
7.2 Prohibited Activities
You must not:
- Use the Services for any unlawful, fraudulent, or malicious purpose or to violate the rights of others.
- Attempt unauthorized access to any system, network, account, or data, or test the vulnerability of systems without express written authorization from Camu.
- Interfere with or disrupt the integrity or performance of the Services, including via denial-of-service attacks or excessive automated requests.
- Upload, transmit, or store content that is unlawful, defamatory, obscene, hateful, discriminatory, harassing, or otherwise objectionable.
- Upload or distribute viruses, malware, or other harmful code.
- Harass, threaten, impersonate others, misrepresent your identity, or engage in spamming or phishing.
- Use the Services to build, train, or improve competing products or services, or for benchmarking except as allowed by written agreement.
7.3 Data and Privacy Compliance
You must access and use personal or institutional data only within your authorized role and scope. You agree to comply with all applicable data protection and privacy laws, the Camu Privacy Policy, and any data protection terms in your institution’s agreement with Camu.
7.4 Compliance With Laws
You are responsible for complying with all applicable local, national, and international laws and regulations, including those relating to data protection, intellectual property, electronic communications, export control, and education‑specific regulations where applicable.
7.5 Risk Acknowledgement
Any content you upload, share, or interact with via the Services is done at your own risk. Other users with authorized access may view, copy, or interact with such content, consistent with institutional settings and permissions. Camu does not control every user’s actions and disclaims responsibility for user misuse except as required by law.
7.6 Enforcement
We may, without prior notice and in our discretion, remove content, restrict features, suspend or terminate accounts or access, and report suspected unlawful activity to institutions or authorities where required or permitted by law.
8. Third‑Party Services and Links
The Services may include links to or integrations with third‑party websites, applications, content, or services (for example, video platforms, payment processors, analytics providers). Camu does not control and is not responsible for third‑party content, terms, or privacy practices. Your use of third‑party services is subject to their respective terms and policies.
Camu shall not be liable for any loss or damage arising from your use of third‑party services.
9. Hyperlinking and iFrames
Organizations may link to publicly accessible pages of the Camu Services without prior written approval, provided that the link:
- Is not false, misleading, or disparaging.
- Does not imply sponsorship, endorsement, or affiliation where none exists.
- Fits within the context of the linking site and complies with these Terms.
Camu reserves the right to request removal of any link at any time, at our discretion.
You may not create frames or use techniques that alter the visual presentation or appearance of the Services without Camu’s prior written consent.
10. Service Availability, Support, and Changes
10.1 Availability
Camu aims to provide reliable and available Services; however, availability targets, scheduled maintenance windows, and service level commitments (if any) are governed by the specific service level agreement or order form between Camu and the Customer. In the absence of such an agreement, the Services are provided on a reasonable‑efforts basis.
10.2 Maintenance and Updates
We may perform maintenance, implement updates, or modify the Services from time to time, which may temporarily affect availability. Where practicable and appropriate for institutional deployments, we will use reasonable efforts to notify Customers of planned major maintenance.
10.3 Support
Support terms, response and resolution targets, and available channels are specified in the applicable Customer agreement or support documentation. End users should direct support requests through their institution where required.
11. Data Protection and Privacy
Camu’s collection, use, and disclosure of personal data is described in our Privacy Policy and any applicable data protection addendum (DPA) with Customer.
Where Camu processes personal data on behalf of a Customer, Camu will act as a processor (or equivalent role under applicable law) and will:
- Process personal data only on documented instructions from Customer, including as set forth in institutional agreements and product documentation.
- Implement appropriate technical and organizational measures to protect personal data against unauthorized or unlawful processing and against accidental loss, destruction, or damage.
- Assist Customer, where reasonably possible and subject to agreement, in responding to data subject requests and meeting data protection obligations.
- Use subprocessors subject to appropriate contractual safeguards and provide information about such subprocessors as required by applicable law or agreement.
- Handle international transfers of personal data in accordance with applicable data protection laws and the mechanisms described in the DPA or Privacy Policy.
Details on retention, deletion, and export of data upon termination or at Customer’s request are governed by the applicable institutional agreement, DPA, and Privacy Policy.
12. Security
Camu implements administrative, technical, and physical safeguards designed to protect the security, confidentiality, and integrity of the Services and Customer Data. These may include access controls, encryption (where applicable), logging and monitoring, backup and recovery measures, and vulnerability management.
No service can be completely secure. You are responsible for implementing appropriate safeguards for your systems and for protecting your credentials and devices. In the event of a data breach affecting personal data processed on behalf of a Customer, Camu will notify the Customer without undue delay in accordance with applicable law and the terms of the relevant agreement.
13. Disclaimers
Except as expressly provided in a separate written agreement with Customer, the Services and all Camu Materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise.
To the maximum extent permitted by law, Camu disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, non‑infringement, and course of dealing or usage of trade. Camu does not warrant that the Services will be uninterrupted, error‑free, secure, or free from harmful components, or that data or content will be preserved without loss.
14. Limitation of Liability
To the fullest extent permitted by law, and subject to any different allocation of liability in a written agreement with Customer, Camu shall not be liable for:
- Any indirect, incidental, special, punitive, or consequential damages.
- Any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to your use or inability to use the Services, even if advised of the possibility of such damages.
Where liability cannot be excluded, it will be limited to the amount paid by the Customer for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, unless otherwise specified in an applicable agreement.
15. Indemnification
You agree to indemnify, defend, and hold harmless Camu and its affiliates, officers, directors, employees, and agents from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your or your users’ violation of these Terms or other applicable policies.
- Your misuse of the Services.
- Your infringement or alleged infringement of any third‑party rights, including intellectual property or privacy rights.
For institutional Customers, mutual indemnity obligations (including for IP infringement) may be further specified in the institutional agreement and will govern in case of conflict.
16. Suspension and Termination
Camu may suspend or limit access to the Services immediately, with or without notice, if:
- You or your institution materially breach these Terms or any applicable agreement.
- Your use poses a security risk, may cause harm, or may subject Camu or others to liability.
- Required by law, regulation, or governmental authority.
Your institution or Customer may terminate in accordance with the applicable agreement and its termination provisions. Upon termination or expiration, your right to access the Services will cease, and data handling (including retention and deletion) will be governed by the applicable agreement, Privacy Policy, and any DPA.
17. Changes to Terms and Services
We may update these Terms from time to time to reflect changes in law, our Services, or our business. When we make material changes, we will provide notice by updating the “Last updated” date and, where appropriate, by additional notice (for example via the Service interface or institutional contact).
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
We may also modify or discontinue features or components of the Services, provided that we comply with any commitments set out in applicable institutional agreements.
18. Governing Law and Dispute Resolution
Unless otherwise specified in a separate agreement with Customer, these Terms and any disputes arising from or relating to them or the Services shall be governed by the laws of the jurisdiction where Camu is incorporated or primarily operates, without regard to conflict‑of‑laws principles.
Any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, except where mandatory law provides otherwise or where another forum is agreed in a written contract with Customer.
19. Miscellaneous
Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable institutional agreement, constitute the entire agreement between you and Camu regarding the Services.
Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Failure to enforce a provision will not constitute a waiver of that or any other provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without Camu’s prior written consent. Camu may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, subject to applicable law and contractual commitments.
